| COMPANY
HISTORY & STATEMENT OF PURPOSE |
| Our Company was
founded by Robert McCarthy in 1935 in Kansas City, MO. He began by selling
bearings and magneto parts out of the trunk of his car. His customers, appreciating
his large discount from OEM prices, encouraged Mr. McCarthy to add other
parts from manufacturers that supplied the OEM's. As business grew Mr. McCarthy
took on a partner, George Harter, to source products and do the OEM crossovers.
They named the venture H-M Parts Co., for their respective last names.
In 1945, a branch
was opened in Memphis, Tennessee, which was subsequently purchased by
its Southern Territory Manager Bernard McCarthy, brother of Robert McCarthy.
In 1963, H-M Parts, Memphis, embarked on the TEMCO Independent Dealer
Program and changed the name of the Company to TEMCO H-M Parts, Co. In
1989, control of the Company passed to Harry & Nancy Waggoner. Harry
Waggoner, who managed the Memphis operation since 1974, is the son-in-law
of Robert McCarthy.
As we celebrate
75 years in business, it is our intent to continue as a privately owned
and operated family business. Bob Waggoner, President, and all the employees
of TEMCO H-M Parts Co., are dedicated to understanding the needs and challenges
of our customers as fellow small business owners. We endeavor to look
upon each of our customers as though he were our only customer.

| TEMCO H-M Parts
Co. offers a wide range of quality products for farm and industrial applications.
We source our products from many of the same sources supplying the Original
Equipment Manufacturers. We strive to offer high quality products at fair
prices. Please browse through our on line catalog to sample the wide variety

| SERVICE |
| Our office and
warehouse, located in Memphis, TN, are open Monday through Friday, 7:30
to 5:00 CT. Our fax and on-line ordering systems are available at all times.
Our phones are manned by friendly/knowledgeable people (no voice mail allowed).
Orders are picked up by UPS, FEDEX, and various truck lines each day. Rush
orders can be placed as late as 4:30 for same day shipment. Our technical
service and special order desk are available for those hard to find parts.

| PROMOTION |
| TEMCO provides
its dealers with a Full Line 3 ring binder catalog, as well as other manufacturers
reference catalogs as needed. In addition to this catalog, TEMCO also produces
a Retail catalog, which can be customized for each dealer. This catalog
is designed for the dealer to give to his customer as a way to promote his
business year round. We have been producing this catalog since 1963, and
many of our dealers find it to be an extremely effective means of advertising.
